SubShare by Brexva General Terms and Conditions

Welcome to SubShare by Brexva (“we,” “us,” or “our”). These Terms and Conditions govern your use of our services, including but not limited to subscription sharing, account management, and other related services (the “Services”). By accessing or using our Services, you agree to be bound by these Terms.

1.) Eligibility

You must be at least 18 years old and have the legal capacity to enter into agreements to use our Services. Alternatively, you may use the Services if you are over the age of 13 and have obtained consent from a legal parent or guardian to enter into this agreement. By signing up, you confirm that all information provided is accurate and up-to-date.

2.) Personal Information

You consent to our use of your personal information to facilitate the provision of the Service(s), manage your subscription, process payments, and contact you regarding service and billing matters.

You consent to SubShare by Brexva’s use and/or sharing of your personal information with third parties for the purpose of rendering the Service(s). Such information sharing will be limited to what is necessary to facilitate and manage your subscription, ensure access to the Service(s), and fulfill related service obligations.

3.) Billing and Payments

You agree to make timely payments for your subscription as outlined in the payment terms.

We will require you to place a valid credit card on file for future payments if you fail to make on-time payments more than twice on any of your SubShare by Brexva subscriptions.

You authorize SubShare by Brexva to store your payment method(s) on file indefinitely or until you request removal in writing, whichever comes first. SubShare by Brexva reserves the right to refuse removal of any payment method on file from accounts with overdue balances. You further authorize SubShare by Brexva to charge any payment method on file to settle any invoices overdue by three (3) or more days, plus any fees incurred in the processing of the payment including but not limited to transaction processing charges.

4.) Services Offered

We facilitate shared access to subscription services, manage group memberships, and provide other digital account-related solutions. We do not claim ownership or control over the third-party services you access through our platform.

5.) User Responsibilities

- Ensure that your use of our Services complies with the terms and conditions of third-party services.

- Do not misuse our platform or engage in fraudulent activities.

- You are responsible for safeguarding account credentials provided to you.

6.) Payment and Billing

- Fees for our Services are outlined during the sign-up process and are subject to change with prior notice.

- Payments must be made in advance and are non-refundable unless explicitly stated otherwise.

- We may, at our sole discretion, require you to keep a credit card on file if you have made two or more late payments.

7.) Sharing Groups and Subscriptions

- You agree to abide by all applicable Terms and Conditions for the services you access through our Platform.

- We reserve the right to terminate or suspend access if misuse or breach of third-party terms is detected.

9.) Termination of Services

We may suspend or terminate your access to the Services at any time, for any reason or no reason, with or without prior notice. This includes but is not limited to violations of any SubShare by Brexva General or service-specific Terms and Conditions, suspected or actioned fraud or misuse, nonpayment, compliance with legal mandates, or operational requirements and decisions.

10.) Disclaimer of Liability

- We are not responsible for any actions or inactions of third-party services accessed through our platform.

- Services are provided “as-is” without warranties of any kind, express or implied.

11.) Privacy Policy

Your personal data will be handled in accordance with the privacy policies of the subscription services you access and the SubShare by Brexva Privacy Policy.

12.) Intellectual Property

All content, branding, and materials provided by SubShare by Brexva are protected under intellectual property laws. Unauthorised use is prohibited.

13.) Governing Law

These Terms are governed by the laws of the State of California, and any disputes will be resolved in accordance with these laws.

14.) Binding Arbitration Clause

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, shall be resolved through binding arbitration administered by an arbitration body mutually agreed upon by the parties. The arbitration will take place in California and be conducted in accordance with the rules of the American Arbitration Association. By agreeing to these Terms, you waive your right to a jury trial or to participate in a class action lawsuit.

15.) Severability Clause

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.) Amendments

We reserve the right to update these Terms at any time. Changes will be communicated via email or posted on our website. Continued use of our Services constitutes acceptance of the updated Terms.

Supplemental Terms and Conditions for Netflix Premium from SubShare by Brexva

Effective: 01 January 2024

These Terms and Conditions (“Terms”) apply to your use of shared Netflix accounts provided by SubShare by Brexva (“Service(s)” or “we/us/our”). By signing up for and using our Service(s), you agree to the following terms:

1.) Service(s) Overview

SubShare by Brexva offers shared Netflix accounts to customers. By subscribing to our Service(s), you agree to comply with these Terms.

2.) Personal Information

You consent to our use of your personal information to facilitate the provision of the Service(s), manage your subscription, process payments, and contact you regarding service and billing matters.

You consent to SubShare by Brexva’s use and/or sharing of your personal information with third parties for the purpose of rendering the Service(s). Such information sharing will be limited to what is necessary to facilitate and manage your subscription, ensure access to the Service(s), and fulfill related service obligations.

You agree that we may use the email address on file to forward any Netflix Travel Verification Codes as necessary to ensure uninterrupted service.

3.) Billing and Payments

You agree to make timely payments for your subscription as outlined in the payment terms.

We will require you to place a valid credit card on file for future payments if you fail to make on-time payments more than twice on any of your SubShare by Brexva subscriptions.

 - Late Payment Penalties:

First late payment: Accounts associated with invoices left unpaid for more than two (2) days will be subject to service cancellation.

Subsequent late payments, Accounts associated with invoices left unpaid for more than one (1) day(s) will be subject to service cancellation.

4.) Price Modifications

SubShare by Brexva reserves the right to modify the price of the Service(s) at any time. We will provide a minimum of seven (7) days’ notice before any price changes take effect.

5.) Account Usage

You agree not to change the password of the shared Netflix account provided to you. Unauthorized changes to account credentials may result in immediate cancellation of your subscription and denial of future access to the Service(s).

6.) Modification of Terms

We may modify these Terms periodically. We may provide notice of future changes. Your continued use of the Service(s) seven (7) calendar days after any changes to the Terms constitutes your acceptance of the modified Terms.

7.) Termination of Service(s)

We reserve the right, at our sole discretion, to terminate or suspend your account and/or access to the Service(s) for any breach of these Terms, including but not limited to late payments and unauthorized account changes.

8.) Binding Arbitration

Any disputes arising from these Terms or your use of the Service(s) shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”). By agreeing to these Terms, you waive any right to pursue claims in court, including the right to participate in class actions or other representative actions.

9.) Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions of these Terms shall continue in full force and effect.

10.) Limitation of Liability

SubShare by Brexva is not liable for any direct, indirect, incidental, or consequential damages arising from your use or inability to use the Service(s). Our total liability for any claim related to the Service(s) is limited to the amount you paid for the Service(s) in the last month.

11.) Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles or the laws of any other jurisdiction, except where superseding law applies.

Supplemental Terms and Conditions for YouTube Premium from SubShare by Brexva

These Terms and Conditions (“Terms”) apply to your use of YouTube Premium services provided by SubShare by Brexva (“Service(s)” or “we/us/our”). By signing up for and using our Service(s), you agree to the following terms:

1.) Service(s) Overview

SubShare by Brexva offers access to YouTube Premium services to customers. By subscribing to our Service(s), you agree to comply with these Terms.

2.) Personal Information

You consent to our use of your personal information to facilitate the provision of the Service(s), manage your subscription, process payments, and contact you regarding service and billing matters.

You consent to SubShare by Brexva’s use and/or sharing of your personal information with third parties for the purpose of rendering the Service(s). Such information sharing will be limited to what is necessary to facilitate and manage your subscription, ensure access to the Service(s), and fulfill related service obligations.

7.) YouTube Terms of Service

By subscribing to our Service(s), you agree to be bound by and follow YouTube’s Terms of Service, accessible at YouTube Terms of Service ( https://www.youtube.com/static?template=terms ).

8.) Termination of Service(s)

We reserve the right, at our sole discretion, to terminate or suspend your account and/or access to the Service(s) for any breach of these Terms, including but not limited to late payments and unauthorized account changes.

Supplemental Terms and Conditions for Duolingo Subscription Service(s) from SubShare by Brexva

Effective Date: 20 December 2024

These Supplemental Terms and Conditions for Duolingo Subscription Service(s) from SubShare by Brexva (“Supplemental Terms”) apply specifically to the Duolingo subscription services (“Duolingo Subscription Service(s)”) provided by SubShare by Brexva. These Supplemental Terms are in addition to and incorporate by reference the SubShare by Brexva General Terms and Conditions (“General Terms”).

1.) Description of Service

SubShare by Brexva facilitates shared access to Duolingo subscriptions by forming subscription-sharing groups (“Groups”) and managing group memberships.

2.) User Eligibility

In addition to the eligibility requirements outlined in the General Terms:

- Each group member must agree to comply with Duolingo’s own terms of use, available at Duolingo Terms (https://www.duolingo.com/terms).

- Group members must refrain from any activities that could lead to account suspension or termination by Duolingo.

3.) Payment and Billing

- Payment for Duolingo Subscription Service(s) must be made in advance and will be billed monthly or annually, depending on the subscription tier selected at sign-up.

- SubShare by Brexva reserves the right to adjust prices for the Duolingo Subscription Service(s) with 30 days’ notice.

4.) Account Access and Management

Users may not modify the service provider account settings, add, or remove group members, or make changes that may impact other members. Unauthorised changes will result in immediate membership suspension and discontinuation of the Duolingo Subscription Service(s).

5.) Service Limitations

- Duolingo Subscription Service(s) are limited to the features available in the current subscription tier offered by Duolingo. SubShare by Brexva is not responsible for any changes to these features made by Duolingo.

- Access to additional languages or exclusive content is subject to Duolingo’s policies and availability.

6.) Termination of Services

SubShare by Brexva reserves the right to terminate access to the Duolingo Subscription Service(s) for any user who violates these Supplemental Terms or Duolingo’s terms of use.

7.) Personal Information

By signing up for Duolingo Subscription Service(s), you agree that your Duolingo username may be visible to other members of your subscription-sharing group and agree to our use of your personal information in accordance with our Privacy Policy (https://brexva.com/gallery/SubShare%20by%20Brexva%20Privacy%20Policy.pdf).

8.) Modification of Terms

We may modify these Terms periodically. We may provide notice of future changes. Your continued use of the Service(s) seven (7) calendar days after any changes to the Terms constitutes your acceptance of the modified Terms.

If any provision of these Supplemental Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

10.) Superseding Authority

In the event of a conflict between these Supplemental Terms and the General Terms, the General Terms shall take precedence, have superseding authority, and prevail.

By signing up for the Duolingo Subscription Service(s) provided by SubShare by Brexva, you acknowledge that you have read, understood, and agree to these Supplemental Terms.
